A 2008 box running a line-of-business app is not an IT failure. It is an accepted risk that was never written down.
Put a date, a cost range, and a compensating control on one page. If they accept it, sign it. If they do not, fund the migration.
IT consulting is how we write that page so it survives a board meeting.
